1. Acceptance of terms

By accessing or using the Upadhyay Manufacturers website, requesting a quote or placing an order, you agree to be bound by these Terms of Service. If you do not agree, please do not use this website.

2. Products & specifications

Product images, dimensions, materials and finishes shown on this website are indicative and provided for reference. Actual products may vary within normal manufacturing tolerances. Custom and made-to-order items are produced to the specifications confirmed in writing at the time of order.

We reserve the right to improve or modify designs, materials and specifications without prior notice.

3. Quotations & pricing

Prices displayed as “On request” or shown in a quotation are valid for the period stated in that quotation (typically 30 days) and are subject to change thereafter. All prices are exclusive of applicable taxes, freight and installation unless expressly stated otherwise.

A quotation does not constitute a binding contract until confirmed by a purchase order accepted by us in writing.

4. Orders, payment & delivery

Orders are confirmed on receipt of a signed purchase order and any advance payment specified. Delivery timelines communicated are estimates and begin from the date of order confirmation and receipt of advance.

Risk in the goods passes to the buyer on delivery. Title remains with us until payment is received in full.

5. Warranty

Our products carry the warranty stated on the product page or quotation against manufacturing defects under normal institutional use. Warranty does not cover damage arising from misuse, unauthorised modification, normal wear and tear, or improper storage and handling.

6. Intellectual property

All content on this website — including text, graphics, logos, images and designs — is the property of Upadhyay Manufacturers and is protected by applicable intellectual property laws. You may not reproduce or redistribute any content without our written permission.

7. Limitation of liability

To the maximum extent permitted by law, Upadhyay Manufacturers shall not be liable for any indirect, incidental or consequential damages arising from the use of this website or our products. Our total liability shall not exceed the value of the products supplied.

8. Governing law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts at Agra, Uttar Pradesh.
